These Terms of Service (“Terms”) govern your access to and use of the Sentibooks platform, including the website at sentibooks.com and the application at app.sentibooks.com (together, the “Service”).
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Who can use the Service
You must be at least 18 years old and legally capable of entering into a binding contract. If you are signing up on behalf of a business, you confirm that you have authority to bind that business to these Terms.
2. Your account
You are responsible for keeping your login credentials confidential, all activity that happens under your account, and notifying us immediately if you suspect unauthorised access.
You may not share your account with anyone outside your organisation. Each user must have their own login.
3. Subscriptions and billing
Subscriptions are billed in advance on monthly, quarterly, or annual plans. Payment is by the methods listed at checkout, including card and M-Pesa. Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date.
We may change subscription prices with at least 30 days notice. If you do not accept a price change, you may cancel before it takes effect. New accounts may be offered a free trial, and we may modify or end the free trial offer at any time.
4. Refunds
Fees for the current month are non-refundable once the month has started. If you cancel a quarterly or annual plan mid-period, we will refund the unused full months on a pro-rata basis, less any discounts you received for the longer commitment.
If you believe you have been charged in error, contact us within 14 days and we will investigate. Refunds are processed to the original payment method within 14 business days.
5. Acceptable use
You agree not to use the Service for any unlawful purpose, to reverse-engineer or copy the Service, to attempt to gain unauthorised access to other accounts or systems, to upload malware or harmful code, to use the Service to send spam or unsolicited communications, to interfere with the normal operation of the Service, or to resell or sublicense access without our written permission.
We may suspend or terminate your account for any breach of this section.
6. Your data
You own your data. All customer records, invoices, inventory, employee data, and accounting entries you create in the Service belong to you.
You grant us a limited licence to store, process, and transmit your data only as needed to provide the Service. Our handling of personal data is described in our Privacy Policy. By using the Service, you agree to that Policy.
You may export your data at any time from within the Service. We take regular backups, but you should also retain your own copies of critical business records. We are not liable for data loss caused by events beyond our reasonable control.
7. Your responsibilities
You are responsible for the accuracy of data you enter into the Service, complying with all applicable Kenyan laws including KRA tax obligations, employment law, and the Data Protection Act, 2019, obtaining any consents required from your customers or employees before entering their data into the Service, and maintaining the security of your own devices and network.
The Service helps you calculate VAT, PAYE, SHIF, NSSF, and Housing Levy based on the inputs you provide. You remain responsible for the accuracy of those inputs and for filing on time with the relevant authorities.
8. Our responsibilities
We will provide the Service with reasonable skill and care, maintain the security of your data as described in the Privacy Policy, notify you of planned maintenance and known incidents, and provide support during business hours.
We aim for high availability but do not guarantee uninterrupted service. Occasional downtime is required for maintenance and upgrades.
9. Support
Support is provided by email at support@sentibooks.com and, on higher plans, by phone and priority queue. Response times are best-effort. Target response times for each plan are described on the pricing page.
10. Intellectual property
All software, design, text, graphics, logos, and other content that we provide as part of the Service remain our property or that of our licensors.
You may not copy, modify, distribute, or create derivative works from our content without our written permission.
11. Third-party services
The Service may integrate with third-party services such as payment processors. Your use of those services is subject to their own terms and privacy policies. We are not responsible for third-party services.
12. Termination
You may cancel your account at any time from within the Service. Cancellation takes effect at the end of your current billing period.
We may suspend or terminate your access immediately if you breach these Terms, fail to pay subscription fees, or use the Service in a way that harms other users or the Service itself.
Your data will be available for export for 30 days after termination, after which it will be deleted subject to the retention requirements in the Privacy Policy.
13. Limitation of liability
To the maximum extent permitted by Kenyan law, Sentibooks is not liable for loss of profit, revenue, or business opportunity, loss of data except where caused by our gross negligence, indirect or consequential losses, or losses arising from your failure to comply with KRA or other regulatory obligations.
Our total liability for any claim arising out of these Terms is limited to the amount you paid us in the 12 months before the claim. Nothing in these Terms excludes liability that cannot be excluded under Kenyan law.
14. Indemnity
You agree to indemnify Sentibooks against any claim, loss, or cost arising from your breach of these Terms, your violation of any law, your infringement of a third party’s rights, or data you upload to the Service.
15. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified by email or through a prominent notice in the Service at least 30 days before they take effect.
Continuing to use the Service after changes take effect means you accept the updated Terms.
16. Governing law
These Terms are governed by the laws of Kenya. Any dispute arising out of or in connection with these Terms is subject to the exclusive jurisdiction of the courts of Kenya.
17. Contact
For questions about these Terms:
Email: hello@sentibooks.com Postal: Sentibooks, Nairobi, Kenya
If any part of these Terms is found to be unenforceable, the rest remains in full effect. Our failure to enforce any right does not waive that right.
